The seniority is written into the share class itself rather than granted by a side agreement, so it remains in force for as long as the shares are held. In a dissolution, preferred shareholders are paid before any common shareholder receives a return. The dividend rate is set by the terms of the share class rather than by the results of any single period, so the return is known at the time of investment rather than after the fact.
